1. Acceptance of Terms
Welcome to SeatData.io. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Dynadata LLC, doing business as SeatData.io ("SeatData," "we," "us," or "our").
By accessing or using our website at seatdata.io, our APIs, our data services, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Data License Agreement.
Important: If you do not agree to these Terms, you must not access or use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Definitions
"Account" means your registered user account on the SeatData platform.
"API" means our application programming interfaces and related documentation that allow you to programmatically access our Services.
"Content" means all information, data, text, software, graphics, and other materials available through the Services.
"Data" means all ticket sales data, listings data, event data, and related information provided through our Services, as further defined in our Data License Agreement.
"Subscription" means any paid plan that grants access to specific features and data within our Services.
"User Content" means any content you submit, post, or transmit through the Services.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years of age.
3.2 Business Users
If you are using the Services on behalf of a business or organization:
- You represent that you have the authority to bind that entity to these Terms
- The terms "you" and "your" refer to both you individually and the organization
- Both you and the organization are jointly and severally liable for compliance with these Terms
3.3 Geographic Restrictions
The Services are intended for use in jurisdictions where such use is lawful. You are responsible for compliance with applicable local laws regarding your use of the Services.
3.4 Sanctions and Export Compliance
By accessing or using the Services, you represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country subject to comprehensive United States sanctions, including but not limited to Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine
- You are not identified on the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons List (SDN List), the U.S. Department of Commerce's Entity List, Denied Persons List, or any other restricted party list maintained by the United States government
- You will not use the Services in violation of any applicable export control laws, sanctions regulations, or trade restrictions of the United States or any other applicable jurisdiction
- You will not export, re-export, or transfer any Data or technical information obtained through the Services to any prohibited destination, entity, or person
Important: SeatData reserves the right to restrict, suspend, or terminate access to the Services at any time if we reasonably believe you are in violation of sanctions or export control requirements, or if required to do so by applicable law or government directive. Such action may be taken without prior notice and without liability to you.
4. Account Registration
4.1 Account Creation
To access certain features of our Services, you must create an Account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your Account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized use of your Account
4.2 Account Security
You are solely responsible for all activities that occur under your Account. SeatData is not liable for any loss or damage arising from your failure to protect your login credentials.
4.3 API Keys
If you are issued API keys, you agree to:
- Keep your API keys confidential and secure
- Not share API keys with unauthorized parties
- Immediately revoke and regenerate keys if you suspect unauthorized access
- Accept responsibility for all API usage under your keys
5. Services Description
5.1 Platform Services
SeatData provides a data analytics platform for the event ticket market, including:
- Dashboard Access: Web-based interface for searching events and viewing ticket sales and listings data
- API Access: Programmatic access to our data for integration with your systems
- Dataset Products: Bulk downloads of historical and current ticket market data
- Data Subscriptions: Daily data deliveries and update feeds
- Reports: Pre-built analytics and market insights
5.2 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to:
- Modify, suspend, or discontinue any feature at any time
- Perform scheduled and emergency maintenance
- Implement rate limits and usage restrictions
5.3 Data Sources
Our Data is compiled from various third-party sources. We do not guarantee the accuracy, completeness, or timeliness of any Data. The Data should not be your sole basis for any business decisions.
6. Subscriptions and Billing
6.1 Subscription Plans
We offer various subscription plans with different features, data access levels, and pricing. Current plans and pricing are available on our Pricing page.
6.2 Free Trials
We may offer free trials for certain subscription plans. Trial terms:
- Trials are limited to one per user across all trial-eligible plans
- Payment information is required to start a trial
- You will be charged at the end of the trial period unless you cancel beforehand
- Trial usage may be limited by usage caps or time restrictions
6.2.1 Free Trial Abuse
Free trials are offered in good faith to allow legitimate prospective customers to evaluate our Services. The following activities constitute abuse of free trial offers and are strictly prohibited:
- Multiple Account Creation: Creating multiple accounts, using different email addresses, payment methods, or identities to obtain additional free trials
- False Information: Providing false, misleading, or fraudulent information during registration, including fictitious names, temporary email addresses created solely for trial purposes, or misrepresented business affiliations
- Automated Methods: Using scripts, bots, virtual machines, VPNs to mask identity, or any automated or programmatic methods to create accounts or obtain trials
- Sharing Access: Sharing trial account credentials with others or allowing multiple individuals or entities to use a single trial account
- Re-registration: Re-registering for a trial after a previous trial has expired, been cancelled, or been converted to a paid subscription
Consequences of Trial Abuse: If we determine, in our sole discretion, that you have engaged in trial abuse, we reserve the right to:
- Immediately terminate all associated accounts without notice or refund
- Charge your payment method at fair market value for all Services accessed during the abuse period, calculated at our then-current standard subscription rates
- Permanently bar you from future use of the Services
- Pursue any and all available legal remedies, including recovery of damages, costs, and attorneys' fees
These remedies are cumulative and in addition to any other remedies available to SeatData at law or in equity. Any amounts previously paid are non-refundable if your account is terminated for trial abuse.
6.3 Billing and Payment
By subscribing to a paid plan:
- You authorize us to charge your payment method on a recurring basis
- Subscriptions automatically renew unless cancelled
- Prices may change upon notice; continued use constitutes acceptance
- You are responsible for all applicable taxes
6.3.1 Failed Payments
In the event of a failed payment:
- Retry Attempts: We may attempt to charge your payment method multiple times over a period of several days following a failed payment. You authorize these additional charge attempts without requiring separate notification for each attempt.
- Continued Obligation: You remain fully responsible for any uncollected amounts regardless of whether we are able to successfully process payment. A failed charge does not relieve you of your payment obligations.
- Cure Period: You must either update your payment method with valid payment information or manually remit payment within seven (7) days of the initial failed payment attempt. Payment updates can be made through your account settings or by contacting support.
- Service Suspension: Failure to cure a payment failure may result in immediate suspension of your access to the Services, including API access and dashboard functionality. Suspended accounts may not access or retrieve any Data during the suspension period.
- Termination: Continued non-payment may result in termination of your account and subscription. Terminated accounts may forfeit access to historical data and usage history.
- Late Fees: We reserve the right to assess late fees or interest charges on overdue amounts at the rate of 1.5% per month (or the maximum rate permitted by applicable law, if lower), calculated from the original due date until payment is received in full.
- Collection Costs: You agree to pay all costs of collection, including reasonable attorneys' fees and collection agency fees, incurred by SeatData in collecting any overdue amounts.
We encourage you to keep your payment information current to avoid any interruption in service. You can update your payment method at any time through your account dashboard.
6.4 Cancellation and Refunds
- You may cancel your subscription at any time through your account settings or by contacting support
- Cancellations take effect at the end of the current billing period
- No refunds are provided for partial billing periods, except as required by law
- Dataset purchases are non-refundable once data has been delivered
6.5 Usage Limits
Certain plans include usage limits (e.g., data pulls, API requests). If you exceed your plan limits:
- Additional usage may be blocked until the next billing period
- You may upgrade to a higher plan for additional capacity
- Some plans may include overage billing at specified rates
7. Data License Terms
Important: All use of Data obtained through our Services is governed by our
Data License Agreement, which is incorporated into these Terms by reference.
7.1 Summary of Key Data Terms

7.2 Permitted Uses
- Internal business use: Analyze data for your own business operations and decision-making
- Product development: Build products and services that incorporate insights from the Data
- AI/ML training: Train machine learning models using the Data for your own use
- Research and analytics: Conduct market research and publish analyses with proper attribution
7.3 Key Restrictions
- No raw data redistribution: You may not resell, share, or redistribute raw Data
- No competing services: You may not use Data to create a competing ticket data service
- No model resale: You may not sell trained AI/ML models, but may offer services powered by them
- Attribution required: Credit "SeatData.io" in publications and reports using the Data
7.4 Data Retention
- Data lawfully obtained during an active subscription may be retained perpetually
- Restrictions and attribution requirements continue to apply to retained Data
- Termination for breach requires deletion of all Data
8. Acceptable Use Policy
8.1 Prohibited Activities
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of SeatData or any third party
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Services or servers
- Use automated systems (bots, scrapers) except through authorized APIs
- Circumvent any access controls, rate limits, or security measures
- Misrepresent your identity or affiliation
- Use the Services for any fraudulent or illegal purpose
- Harass, threaten, or harm other users or SeatData personnel
- Reverse engineer, decompile, or disassemble the Services
8.2 Enforcement
We reserve the right to investigate and take appropriate action against violations, including:
- Issuing warnings
- Suspending or terminating accounts
- Removing content
- Reporting illegal activities to law enforcement
- Pursuing legal remedies
9. API Terms
9.1 API Access
API access is subject to:
- An active API subscription or authorized access
- Rate limits and usage quotas as specified in your plan
- Compliance with our API documentation and best practices
9.2 Rate Limits
API requests are subject to rate limiting. Exceeding rate limits may result in:
- Temporary blocking of requests
- Account suspension for repeated violations
- Additional charges for excessive usage
9.3 API Changes
We may modify, deprecate, or discontinue API features. We will provide reasonable notice of material changes when possible, but reserve the right to make immediate changes for security or legal reasons.
9.4 SDK and Integration Tools
Any SDKs, libraries, or tools we provide are offered "as-is" and subject to their respective licenses. Use of third-party integrations is at your own risk.
10. Intellectual Property
10.1 SeatData Property
The Services, including all Content, features, functionality, and Data, are owned by SeatData or its licensors and protected by intellectual property laws. You may not use our trademarks, logos, or branding without written permission.
10.2 Limited License
Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended purposes.
10.3 User Content
You retain ownership of User Content you submit. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with operating the Services.
10.4 Feedback
Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution to you.
11. Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Disclaimers
12.1 No Warranties
THE SERVICES AND ALL CONTENT AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
12.2 Data Accuracy
WE DO NOT WARRANT THAT THE DATA IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. DATA IS COMPILED FROM THIRD-PARTY SOURCES AND MAY CONTAIN ERRORS OR OMISSIONS.
12.3 Service Availability
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
12.4 Investment Disclaimer
THE SERVICES AND DATA ARE NOT INTENDED AS INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT APPROPRIATE PROFESSIONALS BEFORE MAKING BUSINESS DECISIONS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
13.1 Exclusion of Damages
SEATDATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption
- Business interruption
- Cost of substitute services
- Any damages arising from your use of or inability to use the Services
13.2 Liability Cap
SEATDATA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO SEATDATA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
13.3 Basis of the Bargain
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US.
14. Indemnification
You agree to indemnify, defend, and hold harmless SeatData and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Services
- Your violation of any third-party rights
- Any User Content you submit
- Products or services you develop using our Data
- Your violation of applicable laws or regulations
15. Termination
15.1 Termination by You
You may terminate your Account at any time by contacting support or using the account settings. Subscription cancellation terms apply as described in Section 6.
15.2 Termination by SeatData
We may suspend or terminate your Account and access to the Services at any time, with or without cause, with or without notice. Grounds for termination include:
- Breach of these Terms or any incorporated agreements
- Fraudulent, illegal, or abusive conduct
- Non-payment of fees
- Extended account inactivity
- Request by law enforcement or government agency
- Discontinuation of the Services
15.3 Effect of Termination
Upon termination:
- Your right to access the Services ceases immediately
- You remain liable for any outstanding fees
- Provisions that by their nature should survive termination will survive
- Data retention rights are governed by the Data License Agreement
16. Dispute Resolution
16.1 Informal Resolution
Before filing any formal legal action, you agree to first contact us at support@seatdata.io to attempt informal resolution. We will attempt to resolve any dispute within 60 days.
16.2 Arbitration Agreement
If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in California.
16.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
16.4 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Services.
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website with a new "Last Updated" date
- Sending email notification to registered users for material changes
- Displaying a notice within the Services
Your continued use of the Services after any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.
18. General Provisions
18.1 Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
18.2 Entire Agreement
These Terms, together with the Privacy Policy, Data License Agreement, and any subscription agreements, constitute the entire agreement between you and SeatData.
18.3 Severability
If any provision is found unenforceable, the remaining provisions continue in full force and effect.
18.4 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
18.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
18.6 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.
18.7 Relationship
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and SeatData.
18.8 Third-Party Beneficiaries
These Terms do not confer any rights on any third party.
18.9 Third-Party Websites and Services
The Services may contain links to third-party websites, applications, or services that are not owned or controlled by SeatData. Additionally, our Data is compiled from various third-party sources.
- No Control: SeatData has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services
- No Endorsement: Inclusion of any link or reference to third-party content does not imply endorsement, approval, or recommendation by SeatData
- No Liability: SeatData shall not be liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, goods, or services
- Your Responsibility: You access third-party websites and services at your own risk and subject to those third parties' terms and conditions
We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit or interact with in connection with our Services.
18.10 European Economic Area Users
If you are a consumer residing in the European Economic Area (EEA), the United Kingdom, or Switzerland:
- Mandatory Consumer Protections: You may benefit from mandatory provisions of consumer protection laws in your country of residence. Nothing in these Terms affects your rights under such mandatory provisions, including but not limited to rights under the Consumer Rights Directive, the Unfair Contract Terms Directive, or equivalent local legislation.
- Statutory Rights: These Terms do not limit or exclude any statutory rights that cannot be limited or excluded under applicable law, including rights related to conformity of digital content and services, remedies for non-conformity, or withdrawal rights where applicable.
- Right of Withdrawal: If you have a statutory right of withdrawal, you may exercise such right in accordance with applicable law. By requesting immediate access to digital content during any applicable withdrawal period, you may forfeit your right of withdrawal as permitted by law.
If you are a business user located in the EEA, the United Kingdom, or Switzerland, you acknowledge that you are entering into these Terms for purposes relating to your trade, business, craft, or profession, and you are bound by the full Terms without modification by consumer protection laws.
18.11 United States Government End Users
The Services and any associated Data, software, and documentation are "Commercial Items" as that term is defined in 48 C.F.R. Section 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. Section 12.212 (for civilian agencies) or 48 C.F.R. Section 227.7202 (for Department of Defense agencies).
In accordance with 48 C.F.R. Section 12.212 or 48 C.F.R. Sections 227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users:
- Only as Commercial Items
- With only those rights as are granted to all other end users pursuant to these Terms
Unpublished rights are reserved under the copyright laws of the United States. The manufacturer is Dynadata LLC, 2108 N ST, STE N, Sacramento, CA 95816, USA.
18.12 Language
These Terms have been drafted in the English language. In the event that these Terms are translated into any other language, the English language version shall prevail and control in all respects. Any translation is provided for convenience only and shall not modify or affect the interpretation of these Terms.
All notices, communications, and proceedings arising under or relating to these Terms shall be conducted in English, unless otherwise required by applicable law.
